Charitable Contributions may not be made at the suggestion, request or behest of any Government Related Person or Other Covered Individual (or to a charity owned, controlled, or connected to a Government Related Person or Other Covered Individual) in order to obtain any improper advantage or otherwise obtain or retain business for Welltower directly or indirectly throughany improper, unethical or illegal means.
