Other Covered Individual definition

Other Covered Individual means any individual who holds a position of trust or authority with a customer or business relation of Welltower, or otherwise is expected to act in good faith or impartially vis-à-vis Welltower.

Other Covered Individual means any director or employee of a business entity (for example, a customer) that is not a government, including but not limited to corporations, companies, partnerships, associations, mercantile companies, or foundations, who has duties and obligations with respect to that business entity and who is expected to act in good faith and impartially.

  • Just as Associates may not give Anything of Value to a Government Related Person or Other Covered Individual to improperly influence them, Associates must not Knowingly use a Third Party ( e.g., agent, consultant, intermediary, joint venture partner, representative, supplier, vendor, franchisee, management company, etc.) to do the same.

  • MediaKind directors, officers, employees, and Third-Party Representatives must obtain prior written approval from the MediaKind CLO before offering to a Government Official, Customer Representative or Other Covered Individual any gift, on behalf of the Company, with a fair market value in excess of US$100.

  • MediaKind directors, officers, employees, and Third-Party Representatives must not provide Anything of Value, directly or indirectly, to any Government Official, Customer Representative, or Other Covered Individual unless the MediaKind director, officer, employee, or Third-Party Representative is doing so in accordance with this Policy or otherwise has the prior written approval of the CLO.

  • Other Covered Individual means any individual who holds a position of trust with a Customer or other business relation (such as a supplier or partner) of the Company.

  • For example, providing Anything of Value to a third person related to, or somehow closely affiliated with, a Government Official, Customer Representative, or Other Covered Individual, such as a close family member, is prohibited just the same as if the benefit were provided directly to the Government Official, Customer Representative, or Other Covered Individual.

  • Charitable Contributions may not be made at the suggestion, request or behest of any Government Related Person or Other Covered Individual (or to a charity owned, controlled, or connected to a Government Related Person or Other Covered Individual) in order to obtain any improper advantage or otherwise obtain or retain business for Welltower directly or indirectly throughany improper, unethical or illegal means.

Other Covered Individual is any individual who is not a Public Official or Healthcare Professional and who performs a function or activity connected with a business, in the course of a person’s employment, or on behalf of a company or another body of persons and who must not be unlawfully influenced in his or her decision-making in connection with the relevant function or activity, or induced to violate a lawful duty, or expectation of good faith performance, impartiality, or a position of trust, as this influence or inducement would result in a violation of applicable Anti-Corruption Laws or code of conduct of either party.

  • Covered individual means a person or entity who is a member of any of the following classes:

  • Aggrieved individual means a student, the parents or guardians of a student under the age of 18 acting on behalf of a student, an employee of the district, or member of the public who is directly affected by and/or is witness to an alleged violation of Board policies prohibiting unlawful discrimination or harassment.

  • Self-Employed Individual means an individual who has Earned Income for the taxable year from the Employer or who would have had Earned Income but for the fact that the trade or business had no net profits for the taxable year, including, but not limited to, a partner in a partnership, a sole proprietor, a member in a limited liability company or a shareholder in a subchapter S corporation.

  • Debarred Individual is an individual who has been debarred by the FDA pursuant to 21 U.S.C. §335a (a) or (b) from providing services in any capacity to a Person that has an approved or pending drug or biological product application.
