Other Agreements with Respect to Indemnification and Contribution. The provisions of this Section 10 hereof shall not affect any agreements among the Fund and the Manager with respect to indemnification of each other or contribution between themselves.

The Underwriters acknowledge and agree that the Fund’s indemnity and contribution obligations under this Section 6 and Section 7 hereof are subject to the provisions of Section 17(i) of the Investment Company Act and any applicable guidance from the Commission or its staff thereunder.
