OT3 Scheme means the proposed merger of the Company with OT3 by means of placing OT3 into members voluntary liquidation pursuant to section 110 of the Insolvency Act 1986 and the acquisition by the Company of all of OT3's assets and liabilities in consideration for the issue of OT3 Shares;
