Original Series A-2 Issue Price definition

Original Series A-2 Issue Price means US$0.13469 per share.
Original Series A-2 Issue Price means the per share price of US$0.1371 at which the Series A-2 Shareholders have agreed to purchase, and the Company has agreed to sell and issue, the Series A-2 Preferred Shares.

  • The conversion rate in effect at any time for conversion of the Series A-2 Preferred (the “Series A-2 Conversion Rate”) shall be the quotient obtained by dividing the Original Series A-2 Issue Price, plus any accrued but unpaid dividends thereon, by the “Series A-2 Conversion Price” calculated as provided in Section 5(c).

  • Class A-2-B Interest Rate means LIBOR + 0.27% per annum (computed on the basis of the actual number of days elapsed during the applicable Interest Period, but assuming a 360 day year); provided, however, that for any Interest Period for which the sum of LIBOR + 0.27% is less than 0.00%, the Class A-2-B Interest Rate shall be deemed to be 0.00%.
