Original Class Principal. Balance or Original Class Notional Amount, as the case may be, of the relevant Class; and (b) with respect to any other Certificate, the percentage interest in distributions to be made with respect to the relevant Class, as stated on the face of such Certificate.

This certifies that CEDE & CO. is the registered owner of the Percentage Interest evidenced by this Certificate (obtained by dividing the Denomination of this Certificate by the Class Principal Balance) in certain monthly distributions with respect to the Trust. The Trust was created pursuant to a Pooling and Servicing Agreement dated as of the Cut-Off Date specified above (the "Agreement") among Financial Asset Securities Corp., as depositor (the "Depositor"), Saxon Mortgage, Inc., as seller (the "Seller") and master servicer (the "Master Servicer"), Meritech Mortgage Services, Inc., as servicer (the "Servicer") and Wells Fargo Bank Minnesota, National Xxxxciation, as trustee (the "Trustee").
