  • The Company shall thereupon be entitled, for a period of 20 days after the delivery to it of the calculations of Fair Market Value to be made pursuant to the last sentence of this Subsection (A), to purchase at a price per share equal to the Fair Market Value of Common Stock, any or all of the Optioner's shares of Common Stock by the tender of an official bank or certified check for the appropriate amount to the Optioner.

  • The Company shall, within 7 days after its receipt of such notice, notify all Holders of Securities other than the Optioner, such notice to be in writing, delivered by hand, or by first-class, certified or overnight mail, postage prepaid, or by telecopier, to their respective addresses as shown on the books of the Company.

  • Within 3 days after the receipt of such check from the Company, the Optioner shall surrender to the Company by hand delivery or by first-class, certified or overnight mail, postage prepaid, addressed to the Company, the certificates representing the shares of Common Stock sold in accordance herewith.
