OP Financial Group definition

OP Financial Group means (a) OP Financial Group Central Cooperative, (b) the member cooperative banks of the financial consortium of OP Cooperative (the “Cooperative Banks”),(c) OP Corporate Bank Group, (d) the subsidiaries of the OP Cooperative (whether existing as at the Issue Date or incorporated thereafter), and (e) the member credit institutions referred to in Chapter 1 Section 2 of the Amalgamations Act, other than the Cooperative Banks, as existing from time to time (including but not limited to, Helsinki Area Cooperative Bank, OP Card Company Plc and OP Mortgage Bank).
OP Financial Group means OP Cooperative, its financial and non-financial subsidiaries and Member Cooperative Banks.
OP Financial Group means the statutory consortium (Fi: yhteenliittymä) as referred to in Section 2 of the Finnish Act on Amalgamations of Deposit Banks (Laki talletuspankkien yhteenliittymästä 599/2010, as amended) comprising (a) the OP Cooperative, (b) the member cooperative banks and other credit institutions being members of the OP Cooperative and (c) the companies belonging to the consolidation groups of the OP Cooperative and such member credit institutions; Outstanding means, in relation to the Notes of any Series, all the Notes issued other than:

In the case of a spinoff involving a Peer Company during the TSR Measurement Period, such company shall remain on the list of Peer Companies, provided that it remains an appropriate peer. Any new company formed as a result of the spinoff shall not be added to the list of Peer Companies for the current TSR Measurement Period (however, such company may be added to the list of Peer Companies for subsequent awards, if the Committee deems such inclusion appropriate). For the avoidance of doubt, following the closing of the Company’s acquisition of Celgene Corporation (“Celgene”), Celgene shall be has been removed from the list of Peer Companies.

  • Consolidated Companies means, collectively, Borrower and all of its Subsidiaries.
