You agree that we can change, delay, or cancel the Onsite Services at any time, including after they have commenced, if we believe that the safety or well-being of a JetBrains representative is compromised in any way.
Supplier may enter into contractual arrangements with independent contractors or subcontractors (collectively referred to as “Subcontractors”) to perform or otherwise assist Supplier in providing the On-site Services or Remote Services, provided however, that Supplier will not be relieved of its obligations under this Agreement because of any act or failure to act by any such Subcontractor(s) and will be fully liable for all such acts and omissions of the Subcontractor(s).
The addition of locations, IT Assets, Services, Onsite Services, Service Hours, and Covered Days not outlined in Section 1.0 Coverage Summary at the signing of this Agreement, if acceptable to Service Provider, shall result in an adjustment to the Client’s monthly charges.
Customer shall reimburse Supplier for travel and per diem expenses incurred in connection with On-site Services that are reasonable, necessary and pre- approved by Customer in writing for Supplier.
Upon receipt of a fully executed Order and purchase order, the parties will determine and finalize scheduling for the Onsite Services.
This Service Agreement covers only the locations, IT Assets, Services, Onsite Services, Service Hours, and Covered Days defied within this Agreement.
Unless otherwise agreed herein, for Ricoh to perform the Onsite Services, Customer shall provide: (i) the office supplies (such as paper clips, staples, staplers, tape, etc.); and (ii) the office equipment (such as desks, shelves, telephones, file cabinets, table and chairs) that Customer and Ricoh mutually agree are necessary.
If you choose Onsite Services, you must also include the following details in the Purchase Order: (i) details of the location at which the Services are to be provided (“Site”); (ii) any equipment that will not be provided at the Site and we are required to provide; and (iii) any other information relevant to us for providing the Services.
For the avoidance of doubt, any expenses related to the Onsite Services, to include travel costs, are not included in the relevant Hourly Rate.
Customer will be responsible for any local travel or nonlocal travel costs that provider incurs (to include reasonable handling fees) in performance of the Onsite Services.
