Once the Company has given the Distribution Notice, Holders may surrender their Securities for conversion at any time until the earlier of the close of business on the last Business Day preceding the date of such distribution or the Company's announcement that such distribution will not take place. Notwithstanding the foregoing, in the event of a distribution contemplated by clauses (3) and (4) of Subsection 4.01(a), Holders may not convert the Securities if the Holders may participate in such distribution without converting their Securities.

  • Once the Company has reserved sufficient program category capacity, the category will be closed.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Parent Disclosure Schedule means the disclosure schedule dated the date hereof regarding this Agreement that has been provided by Parent to the Company.

  • Seller Parent has the meaning set forth in the Preamble.

  • Company Subsidiary means a Subsidiary of the Company.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Buyer Parties means Buyer, its respective Affiliates and the former, current or future equity holders and Representatives of each of the foregoing.

  • Acquired Entities means the Company and the Company Subsidiaries.

  • Parent Disclosure Letter means the disclosure letter delivered by Parent to the Company in connection with, and upon the execution of, this Agreement.

  • Target Companies means the Company and its Subsidiaries.

  • CBI means Central Bureau of Investigation

  • FMS Means the provision by Cartrack to the Client of a real-time web-based system whereby the Client is able to position, monitor and obtain reports covering various aspects of driver and vehicle performance. This Service only applies where a GPS fleet management Unit is installed and is limited to the Territory, except if the Product specifically incorporates international data roaming, in which case the roaming data service will be provided in specified countries.

  • DPWH means the Department of Public Works and Highways of the Government of the Philippines.

  • Buyer has the meaning set forth in the preamble.

  • Target Company means each of the Company and its direct and indirect Subsidiaries.

  • OSSTF means the Ontario Secondary School Teachers' Federation.

  • Acquired Corporations means the Company and each of its Subsidiaries, collectively.

  • Company SEC Documents shall have the meaning set forth in Section 4.7(a).

  • Company Entities means the Company and the Company Subsidiaries.
