O&G Business definition

O&G Business means the lines of business referred to in Section 9.12 hereof.
O&G Business means (a) the development, leasing, acquisition, exploration, and production of unrefined oil, gas, coal seam gas, casinghead gas, condensate, distillate, liquid hydrocarbons and gaseous hydrocarbons (“O&G Hydrocarbons”) and (b) (i) the ownership, operation, maintenance, expansion, construction, commissioning and decommissioning of, and acquisition of, gathering systems and pipelines through which such O&G Hydrocarbons are transported, and (ii) the transportation and disposal of water (including fluids and materials contained therein) produced in association with the production of such O&G Hydrocarbons, including, in each of clauses (i) and (ii), through the ownership of equity interests in Wolf Midstream Holdings, LLC; provided, however, that the O&G Business shall exclude (x) any of the foregoing actions taken in connection with any gathering systems and pipelines located downstream from the point in which control and custody of such O&G Hydrocarbons is transferred to a Person other than any Person who held a direct or indirect interest in such O&G Hydrocarbons at the wellhead and (y) the Powder Flats crude oil gathering system owned by the Saddle Butte Pipeline III, LLC.

Examples of O&G Business in a sentence

  • Neither Shareholder, nor any Person with whom the Shareholder is affiliated, directly or indirectly, owns any property or rights, tangible or intangible, which are used in the OG Business and/or the COC Business, other than the real property at which the principal offices of the Seller Parties is located.

  • There are no claims, actions, suits or proceedings, whether pending or threatened, against or affecting OG, COC, the OG Business and/or the COC Business.

  • OG has currently paid, when due, all taxes levied and imposed in connection with the operation of the OG Business, including, without limitation, applicable sales and use taxes, social insurance taxes, business license taxes, federal and provincial income taxes, employment taxes, federal and provincial withholding taxes, unemployment taxes, workmen's compensation taxes, franchise taxes, property taxes, ad valorem taxes and all similar taxes.

  • The Suppliers are all of the suppliers necessary to the operation of the OG Business and the COC Business, as the case may be.

  • OG’s insurance is adequate to protect the OG Business, and the coverage period thereunder is sufficient to cover any losses resulting in connection with any claims arising on or prior to the Closing Date.
