Offset Interest Payment definition
Offset Interest Payment means a payment of all or a portion of the interest then due and payable on this Note by means of an offset against an equal amount of sums that the Seller has identified to the Company in writing as being due and payable by the Seller or any of its affiliates to the Company or any of its affiliates in respect of any products or services provided to the Seller or any of its affiliates in accordance with the Company's "Most Favored Supplier Status" established pursuant to Section 3.4 of the Alliance Agreement and which sums the Company has not, in good faith and within five business days after the identification thereof, claimed, in a writing delivered to the Seller, not to have been incurred in accordance with the Company's "Most Favored Supplier Status."
