Offering Letter definition

Offering Letter is defined in Section 5.3. “Officer’s Certificate” means a certificate of a Senior Financial Officer or of any other officer of the Company whose responsibilities extend to the subject matter of such certificate. “Operating Partnership” means EastGroup Properties, L.P., a Delaware limited partnership, or any successor that becomes such in the manner prescribed in Section 10.2. “Organizational Documents” means with respect to a corporation, the certificate of incorporation, articles of incorporation and bylaws of such corporation; with respect to a partnership, the partnership agreement establishing such partnership; with respect to a joint venture, the joint venture agreement establishing such joint venture, and with respect to a trust, the instrument establishing such trust; in each case including any and all modifications thereof as of the date of the Transaction Document referring to such Organizational Document and any and all future modifications thereof which are consented to by the holders of the Notes. “Original Guarantors” means EastGroup Properties Holdings, Inc., a Delaware corporation, EastGroup Properties General Partners, Inc., a Delaware corporation, and EastGroup TRS, Inc., a Delaware corporation, or any successor that becomes such in the manner prescribed in Section 10.2. “Parent” means EastGroup Properties, Inc., a Maryland corporation, or any successor that becomes such in the manner prescribed in Section 10.2. “PBGC” means the Pension Benefit Guaranty Corporation referred to and defined in ERISA or any successor thereto. “Permitted Encumbrances” means (a) encumbrances consisting of zoning restrictions, easements, or other restrictions on the use of real property, provided that such items do not materially impair the use of such property for the purposes intended and none of which is violated in any material respect by existing or proposed structures or land use; (b) materialmen’s, mechanic’s, warehousemen’s and other like Liens arising in the ordinary course of business, securing payment of Total Liabilities whose payment is not yet due, or that are being contested in good faith by appropriate proceedings diligently conducted, and for or against which the Property owner has established adequate reserves in accordance with Generally Accepted Accounting Principles; (c) Liens for taxes, assessments and governmental charges or assessments that are not yet due and payable or are being contested in good faith by appropriate proceedings dilige...
