Offer Announcement definition

Offer Announcement means the offer announcement in relation to the Offeror’s firm intention to make the Acquisition under Rule 2.7 of the Code substantially in the form set out in Schedule 2;

Offer Announcement means the joint press announcement of a firm intention to proceed with the Acquisition in accordance with Rule 2.7 of the Code in the Agreed Form;

Offer Announcement means, in respect of the Stingray Acquisition, the announcement released by or on behalf of the Offeror announcing a switch to an Offer and setting out the terms and conditions of the Offer, including an acceptance condition of not less than the Minimum Acceptance Condition.

More Definitions of Offer Announcement

Offer Announcement has the meaning given to it in clause 2.4.2;

Offer Announcement means the announcement to be made by Bidco of a firm intention to make the Offer in accordance with Rule 2.7 of the Code substantially on the terms of the draft announcement set out in Schedule 1;

Offer Announcement means a press announcement substantially on the terms and subject to the conditions of the draft press announcement in the agreed form between the Company and Bidco and initialed for the purposes of identification by the Company (or its lawyers) and Bidco (or its lawyers) and/or such other terms and conditions as may be required by the Panel, any applicable law or regulation, and/or any non-material modifications agreed to by Bidco and the Company;

Offer Announcement means the announcement by Bidco of its decision to make the Offer and published or to be published by Bidco pursuant to Section 10(3) of the German Takeover Code.

Offer Announcement means any one of them;
