Off-the-Shelf Software definition

Off-the-Shelf Software means any Software that is generally available to the public through retail stores or commercial distribution channels and licensed to the Company or the Company Subsidiaries pursuant to standard terms and conditions for an aggregate license fee of less than $100,000.
Off-the-Shelf Software means, with respect to any Person, all Software that is commercially available off-the-shelf Software that (i) has not been modified or customized for such Person, and (ii) is licensed to such Person for a one-time or annual fee of US$10,000 or less.

Off-the-Shelf Software means Software, other than Open Source Software, obtained from a third party (a) on general commercial terms and that continues to be widely available on such commercial terms, (b) that is not distributed with or incorporated in any product or services of the Group Companies or any Group Company, and (c) that is licensed to the Group Companies or any Group Company for a one-time fee or an annual fee of less than five hundred dollars ($500).
