Off-the-Shelf Software definition

Off-the-Shelf Software means any Software that is made generally and widely available to the public on a commercial basis and is licensed to any of the Group Companies on a non-exclusive basis under standard terms and conditions.
Off-the-Shelf Software means any commercially available, off-the-shelf Software that is licensed other than through a written agreement executed by the licensee (such as via clickwrap, browsewrap, or shrinkwrap licenses) or that has license or user-fees less than $50,000.
Off-the-Shelf Software means off-the-shelf personal computer software, as such term is commonly understood, that is commercially available under non-discriminatory pricing terms on a retail basis.

More Definitions of Off-the-Shelf Software

Off-the-Shelf Software means, with respect to any Person, all Software that is commercially available off-the-shelf Software that (i) has not been modified or customized for such Person, and (ii) is licensed to such Person for a one-time or annual fee of $10,000 or less.
Off-the-Shelf Software means off-the-shelf, non-custom, shrinkwrap, clickwrap or similar generally available commercial Software obtained from a third party on general commercial terms.
Off-the-Shelf Software means software obtained from a Third Party (i) on general terms and which continues to be widely available on such terms and (ii) was licensed for fixed payments of less than $1,000,000 in the aggregate or annual payments of less than $250,000 per year.

Off-the-Shelf Software means software, other than open source software, obtained from a third party (i) on general commercial terms and which continues to be widely available on such commercial terms, (ii) which is not distributed with or incorporated in any product or services of any Seller or any subsidiary of any Seller, (iii) which is used for business infrastructure or other internal purposes, and (iv) was licensed for fixed payments of less that $100,000 in the aggregate or annual payments of less than $50,000 per year.
Off-the-Shelf Software has the meaning specified in Section 6.15(b).
Off-the-Shelf Software means licenses for commercially available, unmodified, prepackaged, off-the-shelf Software used by the Sellers solely for the Sellers’ own internal use with a replacement cost or aggregate fee, royalty, or other consideration for any such Software or group of related Software licenses of $20,000 or less.
