Except for the approval by Fresh Vine stockholders of the issuance of greater than 20% of the outstanding shares of Common Stock and the resulting change of control of Fresh Vine in accordance with the NYSE American Rules, no vote or consent of the holders of any capital stock of, or other equity or voting interest in, Fresh Vine is necessary to approve this Agreement and the Contemplated Transactions.
Prior to the Fresh Vine Stockholder Meeting, Fresh Vine shall take all commercially reasonable actions necessary to increase the size of its Board to such number of directors allow both Xxxxx Xxx and Xxxx Xxxxxxxxxx to be included as director nominees at the Fresh Vine Stockholders Meeting as permitted by the rules and authorities of the NYSE American.

The “Principal Market” shall mean the principal securities exchange or trading market where such Common Stock is listed or traded, including but not limited to any tier of the OTC Markets, any tier of the NASDAQ Stock Market (including NASDAQ Capital Market), or the NYSE American, or any successor to such markets.
