Notifying Lender definition

Notifying Lender has the meaning given in Clause 23.1 or Clause 24.1 as the context requires;

Notifying Lender means any Lender that notifies Administrative Agent and the Borrower in writing or made a public statement that its failure to fund all or any portion of its Loans is the result of such Lender’s determination that one or more conditions precedent to funding has not been satisfied in accordance with clauses (a) or (b) of the definition of “Defaulting Lender” contained in Section 1.01.

Notifying Lender has the meaning given in Clause 23.1 (Illegality) or Clause 24.1 (Increased costs) as the context requires.

Examples of Notifying Lender in a sentence

• The Agent shall promptly notify the Borrower, the Security Parties, the Security Trustee and the other Lenders of the notice under Clause 23.1 which the Agent receives from the Notifying Lender.

• The Agent shall promptly notify the Borrower and the Security Parties of the notice which the Agent received from the Notifying Lender under Clause 24.1.

• The Agent shall promptly notify the Borrowers, the Security Parties, the Security Trustee and the other Lenders of the notice under Clause 23.1 which the Agent receives from the Notifying Lender.
