NOTE CAREFULLY. This Option Agreement is subject to a Buy-Out Agreement of approximately even date herewith which gives the Company a Buy-Out Option, exercisable after the date on which Optionee's employment with, or rendering of services to, the Company is terminated, to purchase all of Optionee's Shares at a price determined in part by an independent appraisal. This Option Agreement also gives the Company the Right of First Refusal on any transfer of the Shares by Optionee under certain circumstances. Optionee acknowledges receipt of a copy of the Plan and certain information related thereto and represents that Optionee is familiar with the terms and provisions thereof, and hereby accepts the Option subject to all of the terms and provisions thereof. Similarly, Optionee acknowledges receipt of a copy of the Buy-Out Agreement and represents that Optionee is familiar with the terms and provisions thereof, and hereby accepts the Option subject to all of the terms and provisions thereof. Optionee has reviewed the Plan, the Buy-Out Agreement and this Option Agreement in their entirety, has had an opportunity to obtain the advice of independent legal counsel prior to executing the Buy-Out Agreement and this Option Agreement, and fully understands all provisions of the Plan, this Option Agreement, and the Buy-Out Agreement. Optionee hereby agrees to accept as binding, conclusive and final all decisions or interpretations of the Committee upon any questions arising under the Plan.
