Northern Orion Warrants definition

Northern Orion Warrants means the Series A and Series B common share purchase warrants of Northern Orion issued pursuant to indentures dated May 29, 2003 and February 17, 2005, respectively;
Northern Orion Warrants means the Series A and the Series B common share purchase warrants of Northern Orion issued pursuant to indentures dated May 29, 2003 and February 7, 2005, respectively and listed on the TSX under the symbols “NNO.WT” and “NNO.WT.A” respectively;

  • As at July 11, 2007, Northern Orion also had options to purchase up to 12,567,500 Northern Orion Shares and Northern Orion Warrants outstanding to purchase up to 56,571,850 Northern Orion Shares, and it is assumed that no such options and warrants of Northern Orion will be exercised prior to completion of the Arrangement and the underlying Northern Orion Shares will not be exchanged under the Arrangement.

  • The Yamana Common Shares to be issued in connection with the transactions contemplated herein, including the Yamana Common Shares to be issued upon the exercise of the Northern Orion Options and the Northern Orion Warrants will not be subject to any statutory hold or restricted period under the securities legislation of any province or territory of Canada and, subject to restrictions contained therein in respect of “control distributions”, will be freely tradable within Canada by the holders thereof.

  • Common Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Common Warrants shall be exercisable immediately and have a term of exercise equal to five (5) years, in the form of Exhibit A attached hereto.

The preferences, voting powers, restrictions, limitations as to dividends, qualifications, and terms and conditions of redemption of each series of VMTP Shares are set forth in the VMTP Shares Statement.

  • Initial Warrants means the warrants of the Company to purchase shares of Common Stock underlying the Initial Units issued and outstanding prior to the IPO.

  • Existing Warrants means any warrants to purchase Common Stock outstanding on the date of this Agreement.

  • sweat equity shares means equity shares issued by a company to its employees or directors at a discount or for consideration other than cash for providing know-how or making available rights in the nature of intellectual property rights or value additions, by whatever name called;

  • Purchaser Warrants means Purchaser Private Warrants and Purchaser Public Warrants, collectively.

  • Parent Warrants shall have the meaning assigned to it in Section 1.7(c) hereof.

  • Closing Warrants shall have the meaning ascribed to such term in Section 2.1(a)(ii).

  • Series D Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately upon issuance and have a term of exercise equal to five (5) years, in the form of Exhibit C attached hereto.

  • Amalco Common Shares means the common shares in the capital of Amalco;

  • Special Warrants means the special warrants issued by the Company, at a price of $0.10 per Special Warrant, pursuant to the Special Warrant Private Placement and entitling the holder thereof to acquire, for no additional consideration, one Common Share pursuant to the terms and conditions in the Special Warrant Certificates; and

  • Sponsor Warrants shall have the meaning given in the Recitals hereto.

  • Amalco Shares means the common shares in the capital of Amalco;

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Placement Agent Warrants shall have the meaning set forth in the Subscription Agreement.

  • Black means South African Blacks , Coloureds and Indians , as defined in the B-BBEE Act, 53 of 2003

  • Series B Warrants means, collectively, the Series B Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof and the other Series B Warrants contemplated under Section 2.1 to be issued concurrently at the Closing, which Series B Warrants shall be exercisable beginning immediately and have a term of exercise equal to five (5) years, in the form of Exhibit B-2 attached hereto.

  • ASA Shares has the meaning set forth in 2.4(a).

  • Common Shares means the common shares in the capital of the Corporation;

  • Number of Option Shares means shares of Stock, as adjusted from time to time pursuant to Section 9.

  • Founders means all Members immediately prior to the consummation of the IPO.
