Normalized Working Capital definition

Normalized Working Capital means the negative amount equal to (-) €3,238,850 (minus three million, two hundred and thirty-eight thousand, eight hundred and fifty euros).
Normalized Working Capital means (a) Current Assets of the Company and its Subsidiaries as of the Closing Date less (b) Current Liabilities of the Company and its Subsidiaries, less any current portion of Indebtedness of the Company and its Subsidiaries, each as determined in accordance with U.S. GAAP.
Normalized Working Capital means, with respect to any Person as -------------------------- of any date, the average level of net working capital of such Person during the four full fiscal quarters immediately preceding such determination date.

  • A notice under this Section 1.8(b) shall specify, in reasonable detail, the items in the calculation that are being disputed, and the Buyer and SJI shall be deemed to have agreed with all other items and amounts contained in the Preliminary Normalized Working Capital Statement and Final Normalized Working Capital Statement, as applicable, delivered by the Seller.

  • In making such decision, such auditor shall consider only those items or amounts on the Preliminary Normalized Working Capital Statement and/or the Final Normalized Working Capital Statement as to which the Buyer has disagreed.

  • If the Buyer disagrees with any material aspect of the Preliminary Normalized Working Capital and/or Final Normalized Working Capital calculations, the Buyer shall contact the Seller in writing to attempt to resolve the matter.

  • The cash consideration payable at Closing by Purchaser to the Seller Representative Account pursuant to Section 2.2 shall be (i) increased by the amount, if any, by which the Estimated Net Working Capital exceeds the Normalized Working Capital Amount or (ii) decreased by the amount, if any, by which the Normalized Working Capital Amount exceeds the Estimated Net Working Capital.

  • As promptly as possible, but no later than thirty (30) days after the Closing Date, the Seller shall deliver to the Buyer the Final Balance Sheet and a statement certifying the Seller’s good faith calculation of the Normalized Working Capital of the Business as of the Effective Time (such statement to be attached hereto as Schedule 1.8(a), the “Final Normalized Working Capital Statement”, and the Normalized Working Capital set forth thereon, the “Final Normalized Working Capital”).
