Nonemployee Director Award definition

Nonemployee Director Award means any Award granted to a Nonemployee Director.

Nonemployee Director Award means any NQSO, SAR, or Full Value Award granted, whether singly, in combination, or in tandem, to a Participant who is a Nonemployee Director pursuant to such applicable terms, conditions, and limitations as the Board or Committee may establish in accordance with this Plan.

Nonemployee Director Award means a Nonstatutory Stock Option, Stock Appreciation Right, Restricted Stock Award or Restricted Stock Unit Award granted to a Nonemployee Director pursuant to Section 13 of the Plan.

Examples of Nonemployee Director Award in a sentence

• Subject to the requirements and limitations of Section 409A, if applicable, including as provided by Section 15.4(f), in the event of a Change in Control, each outstanding Nonemployee Director Award shall become immediately exercisable and vested in full and, except to the extent assumed, continued or substituted for pursuant to Section 13.1(b), shall be settled effective immediately prior to the time of consummation of the Change in Control.

• The terms and conditions of each Nonemployee Director Award shall comply with theapplicable provisions of the Plan.

• Subject to the requirements and limitations of Section 409A, if applicable, including as provided by Section 16.4(f), in the event of a Change in Control, each outstanding Nonemployee Director Award shallbecome immediately exercisable and vested in full and, except to the extent assumed, continued or substituted for pursuant to Section 14.1(b), shall be settled effective immediately prior to the time of consummation of the Change in Control.

More Definitions of Nonemployee Director Award

Nonemployee Director Award means an Award granted to a Nonemployee Director pursuant to Section 7 of the Plan.

Nonemployee Director Award means any Award granted to a Participant who is a Nonemployee Director pursuant to such applicable terms, conditions, and limitations as the Board or Committee may establish in accordance with this Plan.

Nonemployee Director Award means any Award granted to a Nonemployee Director as described in Article 12 (Nonemployee Director Awards).
