Non-U.S. Member definition

Non-U.S. Member means any Member that is not a “United States person” within the meaning of Section 7701(a)(3) of the Code, or is a partnership or other flow-through entity for United States tax purposes, if any partner, member or other beneficial owner of such partnership or other flow-through entity is not a United States person.

  • Founding Members means the collective reference to American Multi-Cinema, Inc., a Missouri corporation, Cinemark Media, Inc., a Delaware corporation, and Regal CineMedia Holdings, LLC, a Delaware limited liability company.

  • Associate Member means a person appointed to perform specific statutory and non-statutory duties which have been delegated by the Trust Board for them to perform and these duties have been recorded in an appropriate Trust Board minute or other suitable record.
