Non-Section 423 Offering definition

Non-Section 423 Offering means the rules, procedures, or sub-plans, if any, adopted by the Administrator as part of this Plan, pursuant to which Options that do not satisfy the requirements foremployee stock purchase plans” that are set forth under Section 423 of the Code may be granted to Eligible Employees of a Designated Subsidiary as a separate offering under the Plan.
Non-Section 423 Offering means an Offering under the component of the Plan that is not intended to qualify as an “employee stock purchase plan” under Code Section 423.
Non-Section 423 Offering means an Offering that is not intended to qualify under Section 423 of the Code.

Examples of Non-Section 423 Offering in a sentence

  • In the case of a Non-Section 423 Offering, an Eligible Employee (or group of Eligible Employees) may be excluded from participation in the Plan or an Offering if the Committee has determined, in its sole discretion, that participation of such Eligible Employee(s) is not advisable or practicable for any reason.
