Non-Qualifying Termination definition

Non-Qualifying Termination means any termination of the Executive’s employment with the Company and its subsidiaries other than a Qualifying Termination.
Non-Qualifying Termination means (a) the Executive’s employment was terminated by the Employer for Cause; (b) the Executive’s employment was terminated by the Executive without Good Reason; (c) the Executive’s employment was terminated due to the Executive’s death or Disability; or (d) the Executive’s employment was terminated by either the Executive or the Employer for any other reason other than a Qualifying Termination, as determined by the Board in its sole discretion.
