Non-NMF Member definition

Non-NMF Member means, unless the context otherwise requires, Guardian AIV (for so long as Guardian AIV is a Member), Guardian Partners (for so long as Guardian Partners is a Member), the AIV Holdings Member and each additional Person, except for New Mountain Finance, but including the Investment Adviser and Permitted Transferees (so long as Section 8.2 has been satisfied with respect to such Permitted Transferees), that becomes a Member pursuant to the terms of this Agreement, in such Person’s capacity as a member of the Company.

Examples of Non-NMF Member in a sentence

  • Any Non-NMF Member desiring to exercise its Exchange Right (the “Exchanging Member”) shall exercise such right by giving written notice (the “Exchange Notice”) to New Mountain Finance with a copy to the Company.

  • Life Member means an Individual appointed as a Life Member of the Club under clause 5.2.

  • Executive Member means any elected member of the authority appointed to the executive of that authority;

  • Active member means a member of the pension program or the individual account program

  • Public member means an individual who is not, and never

  • New member means a person first employed on or after Septem- ber 1, 2005, including a former member who withdrew retirement contributions under Government Code 822.003 and is reemployed on or after September 1, 2005.
