From time to time prior to the Closing, the Company may submit a list of Contracts, including Non-Disclosed Contracts (the "Identified Contracts"), to Buyer that the Company believes would be in the best interests of the Company and Buyer to terminate or amend, and represents and warrants that such termination or amendment shall not violate or be in breach of the terms of such Identified Contracts.
The Seller Parties shall prepare a file containing all Non-Disclosed Contracts and shall, on the Closing Date and immediately after the Closing, provide such file to Buyer at the location reasonably specified by Buyer.
To provide for potentially accepted Non-Disclosed Potential Class Members into the Settlement Class, the Claims Administrator will withhold one percent (1%) of the Maximum Distributable Amount when initially providing anticipated Settlement Share amounts to members of the Settlement Class.

If the Non-Disclosed Potential Class Member is either agreed, or determined, to be a Settlement Class Member, the Claims Administrator will pay the individual his/her settlement payment within ten (10) calendar days, or upon payment of proceeds to all Settlement Class members, if such distribution has not yet occurred.

Notwithstanding the foregoing, if the Purchaser determines in good faith that such Non-Disclosed Item imposes on the Purchaser a material liability, Purchaser shall have the right to reject such assignment, by a written notice delivered to the Company not later than thirty (30) days from the date on which Purchaser became aware of such Non-Disclosed Item, and in such case, Purchaser shall have no rights or obligations with respect to such rejected item.
After the conclusion of the Emergency, CRCS shall, on request, deliver to the County a record of all Emergency-Affected Persons to whom Services were provided, excepting Non-Disclosed Files.
