• For the sake of clarity, it is understood and agreed that the Licensee shall have the right to continue to sell Licensed Products, and to use its packaging therefor, so long as they are not Non-Conforming Materials and are in substantial conformity with any previous approvals given by the Licensor.

Non-Conforming Materials. The supplier shall establish and maintain a positive system of identification and segregation to ensure that non-conforming material cannot be intermingled with acceptable material. If a supplier has determined that nonconforming material(s) have been shipped to NMC, the supplier shall notify the NMC buyer within twenty-four (24) hours of the initial discovery. The notification must include the item number and/or description, affected quantities, purchase order numbers affected, lot numbers (if applicable), dates delivered, and a brief description of the nonconforming condition. The initial notification shall be followed by a formal Disclosure Letter delivered to the NMC buyer within five (5) days of the initial notification.

Non-Conforming Materials means material(s) which (i) fail(s) to meet the description or characteristics described in Appendices 1and/or 2, or (ii) are Hazardous Materials, or (iii) contain a concentration of polychlorinated biphenyls equal to or greater than 50 milligrams per kilogram of total solids (on a dry weight basis).

Licensee recognizes that representatives of AeroGrow may also inspect Licensed Products or Seed Kits after they have been delivered or distributed to Licensee’s customers, and Licensee shall cooperate with AeroGrow in obtaining Licensee’s customers’ cooperation in such inspections.
