Non-Compliance Event definition

Non-Compliance Event means:
Non-Compliance Event has the meaning given in Section 3.3 of this Agreement.
Non-Compliance Event means (a) any time that an aggregate amount of three accrued quarterly dividend payments in respect of the Series D Preferred Stock remains unpaid; (b) the failure of the Corporation to perform or comply with any covenant in Section 6, which failure described in this clause (b) continues for 90 days after written notice thereof has been given to the Corporation by any holder of the then outstanding Series D Preferred Stock; (c) the failure of the Corporation to perform or comply with any covenant in Section 5(f); or (d) the making of any payment to holders of Junior Stock in violation of Section 3(a).

  • A Non-Compliance Event occurs when Customer’s Event Demand Reduction falls below 90% of the seasonal Contracted Curtailable Demand.

  • Buyer agrees and covenants further that The Company may, in its sole discretion, terminate any and all of its obligations under the contract or hereunder because of any Non-Compliance Event (regardless of whether Buyer has given notice as required by this section), and that The Company shall not be subject to any liability as a result of, or in connection with, any such termination.

Non-Compliance Event means (i) the Corporation’s failure to make a full dividend payment (based on the then-current Series A Dividend Rate) to the holders of Series A Preferred Stock on each Dividend Payment Date or (ii) any breach by the Corporation or a failure to perform or observe by the Corporation any of the material terms, privileges, powers, preferences or other rights of the Series A Preferred Stock as set forth in this Certificate of Designation or the Purchase Agreement.
