Under Delaware contract law, ―Specific language in a contract controls over general language, and where specific and general provisions conflict, the specific provision ordinarily qualifies the meaning of the general one.‖250 As it relates to the Non-Competition Provisions, therefore, DL‘s interpretation of the APA is unreasonable.
