Non-CiC Period definition

Non-CiC Period means any period of time that is not a CiC Period.
Non-CiC Period means the period prior to or following a CIC Period.
Non-CiC Period means the period that begins on the date of Executive’s termination of employment and equals the number of months set forth on Exhibit A that applies to the Executive’s Participation Tier in respect of a termination of Executive’s employment under Section 1 of this Policy.

  • The Executive’s mental or physical incapacity following the occurrence of an event described above in clauses (1), (2), (3) or (4) shall not affect the Executive’s ability to terminate employment for Non-CiC Period Good Reason and the Executive’s death following delivery of a notice of termination for Non-CiC Period Good Reason shall not affect the Executive’s estate’s entitlement to the severance benefits provided hereunder upon a termination of employment for Non-CiC Period Good Reason.


More Definitions of Non-CiC Period

Non-CiC Period shall have the meaning set forth in Section 4(b)(iii).
Non-CiC Period means the period prior to or following a CIC Period and “CIC Period” means the period beginning on the date that a Change in Control (as defined in the Sovos Brands, Inc. 2021 Equity Incentive Plan as in effect immediately prior to such Change in Control) is consummated and ending on the date that is the 24 month anniversary of such date of consummation. ​

Related to Non-CiC Period

  • CIC Period means the period beginning on the date an event that constitutes a Change in Control occurs and ending on the first anniversary of such date.

  • Non-Competition Period means the period beginning at the end of the Term and ending one (1) year after the end of the Term.

  • Initial Termination Date has the meaning set forth in Section 9.1(b)(i).

  • Anticipated Termination Date Any Distribution Date on which it is anticipated that the Trust Fund will be terminated pursuant to Section 9.01(c) of this Agreement.

  • Stated Termination Date means December 31, 2000.

  • Extended Termination Date has the meaning specified in Section 2.16(c).

  • Post-Termination Exercise Period means the period following termination of a Participant’s Continuous Service within which an Option or SAR is exercisable, as specified in Section 4(h).

  • Effective Termination Date has the meaning set forth in Section 10(b) hereof.

  • Termination Period means the period of time beginning with a Change in Control and ending on the earlier to occur of:

  • Existing Termination Date as defined in Section 2.18.

  • Agreement Effective Period means, with respect to a Party, the period from the Agreement Effective Date to the Termination Date applicable to that Party.

  • Post-Termination Period means a period of 12 months (subject to extension as set forth in Section 8(f)) following the effective date of the termination of Executive’s employment.

  • Revolving Termination Date means the earlier to occur of:

  • Delivery Period Termination Date Has the meaning specified in the Related Pass Through Trust Supplement.

  • Standstill Termination Date means the earlier of (i) 90 days after the Board Designation Termination Date and (ii) the later of (A) the first anniversary of the date of this Agreement and (B) 90 days after the date on which all Purchaser Designated Directors have resigned or been removed from the Board and the Purchaser has permanently waived and renounced its Board designation rights under Section 1.

  • Non-Compete Period means the period commencing on the Effective Date and ending twelve months after the earlier of the expiration of the Employment Period or the Executive’s Date of Termination.

  • Forbearance Termination Date means the earlier to occur of (i) the Termination Date and (ii) a Termination Event.

  • Outside Termination Date shall have the meaning set forth in Section 8.01(f).

  • Automatic Termination shall have the meaning set forth in Section 2.3.2.

  • Nonsolicitation Period means the Employment Period and a period ending eighteen months after the Date of Termination;

  • Service Termination Date means the last Day in a month upon which Service shall terminate, as set forth in a Schedule of Service and subject to any renewal thereof.

  • Post-Employment Period shall have the meaning set forth in Article 8.

  • Noncompetition Period has the meaning set forth in Section 9.01.

  • Lease Termination Date means the last day of the Lease Term.

  • Scheduled Termination Date means the date that is 364 days from (and including) the Effective Date, or any succeeding date to which the term of this Agreement is extended pursuant to Section 2.03.

  • Employment Date means the first date as of which an Employee is credited with an Hour of Service, provided that, in the case of a Break in Service, the Employment Date shall be the first date thereafter as of which an Employee is credited with an Hour of Service.
