Non-Breaching Party definition

Non-Breaching Party has the meaning set forth in Section 11.2.1.
Non-Breaching Party shall have the meaning set forth in Section 21.1 of this Agreement.

  • If the Breaching Party fails to cure such breach or default within ten (10) calendar days after the date of the Non-Breaching Party’s written notice hereunder, the Non-Breaching Party may terminate this Agreement immediately for cause upon giving written notice of termination of this Agreement to the Breaching Party.

  • If a Party (the "Breaching Party") commits any material breach or default of its obligations under this Agreement, the other Party (the "Non-Breaching Party") may give the Breaching Party written notice thereof and demand that such breach or default be cured immediately.
