Nominal Price definition

Nominal Price means sales at less than 10 percent of the Average Manufacturer’s Price (AMP);

Nominal Price means an amount (not to be below $0.01) equal to (i) $12.50 minus (ii) the aggregate value of all cash dividends or distributions in respect of the Common Stock or Common Stock Equivalents from and after the Signing Date (whether such dividends or distributions are made prior to, on or after the date hereof).
