If the Company shall at any time or from time to time after the Signing Date effect a combination or consolidation of the outstanding shares of Warrant Stock or Warrant Stock Equivalents, by reclassification or otherwise into a lesser number of shares, then the Nominal Price shall be proportionately increased and the Maximum Number of Shares shall be proportionately decreased.
Each issuance or sale of Shares will be settled on the applicable Settlement Date for such issuance or sale of Shares subject to the action referred to under Section 3(b)(iv) having been taken in due time, subject to the provisions of Section 5, and, in case of New Shares, subject to the Nominal Price having been received in the Bank Account.
If acting as sales agent hereunder, the Agent will provide no later than 10:00 p.m. ET on the Placement Date written confirmation to the Company setting forth the number of Shares placed on such Trading Day, the corresponding Sales Price, as well as the Nominal Price (in case of New Shares) and the Settlement Price (in case of New Shares) payable to the Company in respect thereof and the Selling Commission payable to the Agent in respect thereof.
In addition, in connection with each purchase of Purchase Shares hereunder, the Company, in consideration for payment of the applicable Nominal Price shall cause the Transfer Agent to issue electronically as DWAC Shares to the Investor a number of ADSs as Additional Commitment Shares equal to 2.5% of the number of Purchase Shares issued on the applicable Purchase Date.
The Company shall notify the Warrantholder of the Nominal Price and the Warrantholder covenants to pay the Nominal Price to the Company in cash in the manner set out in sub-paragraph (a) of Section 2.3 within 4 Business Days of such notification.
