No Unlawful Influence. The Company has not offered, or caused the Underwriters to offer, the Units to any person or entity with the intention of unlawfully influencing: (a) a customer or supplier of the Company or any affiliate of the Company to alter the customer’s or supplier’s level or type of business with the Company or such affiliate or (b) a journalist or publication to write or publish favorable information about the Company or any such affiliate.

No Unlawful Influence. The Atlas Parties have not offered, or caused the Underwriters to offer, Units to any person pursuant to the Directed Unit Program with the intent to influence unlawfully (i) a customer or supplier of the Company or any of the Operating Subsidiaries to alter the customer’s or supplier’s level or type of business with the Company or any of the Operating Subsidiaries, or (ii) a trade journalist or publication to write or publish favorable information about the Company or any of the Operating Subsidiaries or any of their respective products or services. (yy) Each “forward-looking statement” (within the meaning of Section 27A of the Act or Section 21E of the Exchange Act) contained in the Registration Statement, any Preliminary Prospectus, the Prospectus or any Permitted Free Writing Prospectus has been made or reaffirmed with a reasonable basis and in good faith. In addition, any certificate signed by any officer of the Atlas Parties and delivered to the Underwriters or counsel for the Underwriters pursuant to this Agreement shall be deemed to be a representation and warranty by the relevant Atlas Party, as the case may be, as to matters covered thereby, to each Underwriter.
