No-Shop Period definition

No-Shop Period has the meaning provided in Section 4.03.
No-Shop Period has the meaning set forth in Section 8.10(a).

Examples of No-Shop Period in a sentence

  • On the No-Shop Period Start Time, the Company shall notify Parent in writing of (x) the number of parties with which the Company entered into an Acceptable Confidentiality Agreement and (y) the number of parties that submitted a Takeover Proposal after the date of this Agreement and prior to or on the No-Shop Period Start Time, which notice shall include a summary of all material terms of any pending Takeover Proposals that were made in writing by any Excluded Party.

  • The Company shall use reasonable best efforts to cause the Proxy Statement to be mailed to the Company’s stockholders as promptly as practicable after the No-Shop Period Start Date or, if there are any Excluded Parties, the Cut-Off Time.

  • In the event that Yissum does not receive the Notice by the end of the Notice Period stating that the Company desires to commercialize the Results as aforesaid, then the No-Shop Period will automatically terminate at the end of the Notice Period.

  • After the No-Shop Period Start Date, such notice shall include an unredacted copy of any written Acquisition Proposal received and any other written terms or proposal provided (including financing commitments) and any material modifications thereto.

  • Except as it may relate to any Excluded Party or Silver Party and subject to the terms of Section 5.02(c), from the No-Shop Period Start Date until the earlier to occur of the valid termination of this Agreement pursuant to Article VIII and the Effective Time, Titanium shall cease and cause to be terminated any discussions or negotiations with any Person and its Affiliates and Representatives that would be prohibited by this Section 5.02(b).


More Definitions of No-Shop Period

No-Shop Period shall have the meaning assigned to such term in Section 4.01.
No-Shop Period means the Period, as defined in paragraph 6 hereof. Each party hereto shall communicate with the other party, within 4 business days of in hand receipt, or actual knowledge of the substance of communications, by an executive officer of such party, the material terms of any substantive communication received during the Period by either such party from a third party concerning any of the aforesaid matters.
No-Shop Period has the meaning given to it in Section 6.12.
No-Shop Period shall have the meaning set forth in Section 17.1.
No-Shop Period has the meaning set forth in Section 1.11(c).
