Our rights and remedies, and those of our parent, affiliates, subsidiaries, agents, successors in interest or assigns under the Terms and Conditions or any other documents or instruments pursuant to or in connection with the Services are cumulative and not exclusive of any rights or remedies which any such party would otherwise have.

No failure on the part of the Administrative Agent to exercise, and no delay in exercising, any right, power or remedy hereunder, shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power or remedy or any abandonment or discontinuance of steps to enforce any such right, power or remedy, preclude any other or further exercise thereof or the exercise of any other right, power or remedy. All rights, powers and remedies hereunder are cumulative and are not exclusive of any other rights, powers and remedies provided by Applicable Law or otherwise. No waiver of any provision of this Security Agreement or consent to any departure by any Loan Party therefrom shall in any event be effective unless the same shall be permitted by Section 21 hereof, and then such waiver shall be effective only in the specific instance and for the purpose for which given.
