Newly-Formed Entity. As is provided for in Section 2.2(g), Renewable shall form a separate limited liability company (the “Project Company”) for each Project that is to be owned jointly by Renewable and Global. State of Organization: Unless the Parties agree otherwise, the Project Company shall be formed under the laws of the State of Delaware and shall be authorized to do business in all such other states as required for the ownership and operation of the Project.
