Examples of New Guarantees in a sentence
For the purposes of this opinion, we have examined the Registration Rights Agreement dated 30 April 2003 (the "Registration Rights Agreement"), the Indenture, dated as of 22 February 2002, the forms of the New Notes and New Guarantees, such certificates and other documents and such questions of law, as we have considered necessary or appropriate.
Each of the Obligors has all requisite power and authority (corporate, limited liability company and other) to execute, deliver and perform its obligations under the New Notes, the New Guarantees, the New Indenture, the Security Documents, the Warrants, the Warrant Agreement, the Supplemental Indenture, the Director Nomination Agreement and this Agreement (collectively, the “Transaction Documents”).
Each of the New Guarantees shall be a guarantee of payment and not of collection.
Each of the Obligors has all requisite power and authority (corporate, limited liability company and other) to execute, deliver and perform its obligations under the New Notes and this Agreement and to perform its obligations under the New Guarantees, the New Indenture and the Security Documents (as defined herein).
For the avoidance of doubt, the provisions of Article X of the Indenture shall not apply to the New Guarantees.
