New Global Bond definition

New Global Bond means the temporary global bond in respect of the New Bonds to be issued pursuant to Clause 3(A) in the form or substantially in the form set out in the First Schedule.

  • The Issuer has no responsibility or liability for the records relating to, or payments made in respect of, beneficial interests in the New Global Bond.

  • A holder of a beneficial interest in the New Global Bond must rely on the procedures of Euroclear and Clearstream, Luxembourg to receive payments under the Further Bonds.

  • While the Further Bonds are represented by the Temporary Global Bond or the New Global Bond, investors will be able to trade beneficial interests in the Further Bonds only through Euroclear and Clearstream, Luxembourg.

  • Except in certain limited circumstances described in the New Global Bond, investors will not be entitled to receive Definitive Bonds (as defined below).

  • Euroclear and Clearstream, Luxembourg will maintain records of the beneficial interests in the Temporary Global Bond and the New Global Bond.

  • The Temporary Global Bond and the New Global Bond will be deposited with a common safekeeper for Euroclear and Clearstream, Luxembourg.

  • Holders of beneficial interests in the Temporary Global Bond or the New Global Bond will not have a direct right to vote in respect of the Further Bonds.

  • The Issuer may use the facsimile signature of any person who at the date such signature is affixed is a person duly authorised by the Issuer or is a director of the Issuer as referred to in Clauses 4.2, 4.3 and 4.6 above notwithstanding that at the time of issue of the relevant New Global Bond or any of the Definitive New Bonds, as the case may be, he may have ceased for any reason to be so authorised or to be the holder of such office.

  • Over the last year substantive work has been undertaken to understand the issues and to inform a suitable response and structure to respond to issues affecting faith and race communities.

Related to New Global Bond

  • Global Bond means the Original Global Bond and/or as the context may require any other global bond or global bonds representing Further Bonds or any of them;

  • Restricted Global Security As defined in Section 3.01(c).

  • Registered Global Security means a Security evidencing all or a part of a series of Registered Securities, issued to the Depositary for such series in accordance with Section 2.02, and bearing the legend prescribed in Section 2.02.

  • Global Preferred Security means a Preferred Securities Certificate evidencing ownership of Book-Entry Preferred Securities.

  • Regulation S Global Security The meaning specified in Section 3.01(c).

  • 144A Global Security means a permanent Global Security in the form of the Security attached hereto as Exhibit A-1, and that is deposited with and registered in the name of the Depositary, representing Securities sold in reliance on Rule 144A under the Securities Act.

  • Regulation S Global Securities means one or more permanent global Securities in registered form representing the aggregate principal amount of Securities sold in reliance on Regulation S under the Securities Act.

  • Global Debenture shall have the meaning set forth in Section 2.4(a).

  • Capital Security means an undivided beneficial interest in the assets of the Issuer Trust, having a Liquidation Amount of $1,000 and having the rights provided therefor in this Trust Agreement, including the right to receive Distributions and a Liquidation Distribution as provided herein.

  • U.S. Global Note means a Global Note that bears the Restricted Legend representing Notes issued and sold pursuant to Rule 144A.

  • Original Bonds has the meaning set forth in the recitals hereto.

  • Global Capital Security means a Capital Securities Certificate evidencing ownership of Book-Entry Capital Securities.

  • Rule 144A Global Security has the meaning specified in Section 2.1(a) of Appendix A.

  • Initial Bond means any Bond issued on the First Issue Date. “Initial Bond Issue” has the meaning set forth in Clause 2.1.

  • Series 2020 Bonds means the Series 2020A Bonds and the Series 2020B Bonds.

  • Mandatory Securities Depository means a foreign securities depository or clearing agency that, either as a legal or practical matter, must be used if the Fund determines to place Foreign Assets in a country outside the United States (i) because required by law or regulation; (ii) because securities cannot be withdrawn from such foreign securities depository or clearing agency; or (iii) because maintaining or effecting trades in securities outside the foreign securities depository or clearing agency is not consistent with prevailing or developing custodial or market practices.

  • Registered Global Note means a Global Note, if issued by TCCI, being in the form or substantially in the form set out in Schedule 1 to the TCCI Note Agency Agreement (or in such other form as may be agreed between TCCI, the TCCI Registrar, the TCCI Transfer Agent and the relevant Purchaser(s)), or if issued by TMCC, being in the form or substantially in the form set out in Schedule 1 to the TMCC Note Agency Agreement (or such other form as may be agreed between TMCC, the TMCC Registrar, the TMCC Transfer Agent and the relevant Purchaser(s));

  • CDS Global Warrants means Warrants representing all or a portion of the aggregate number of Warrants issued in the name of the Depository represented by an Uncertificated Warrant, or if requested by the Depository or the Corporation, by a Warrant Certificate;

  • Regulation S Temporary Global Security with respect to any series of Securities, means one or more temporary Global Securities, bearing the Private Placement Legend and the Regulation S Temporary Global Security Legend, issued in an aggregate amount of denominations equal in total to the outstanding principal amount of the Securities of such series initially sold, if required by Rule 903 of Regulation S.

  • Offshore Global Note means a Global Note representing Notes issued and sold pursuant to Regulation S.

  • Initial Bond Issue means the issuance of the Initial Bonds. "Initial Bonds" means the Bonds issued on the First Issue Date.

  • IAI Global Note means a Global Note substantially in the form of Exhibit A hereto bearing the Global Note Legend and the Private Placement Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee that will be issued in a denomination equal to the outstanding principal amount of the Notes sold to Institutional Accredited Investors.

  • Debenture Issuer means the Parent in its capacity as the issuer of the Debentures under the Indenture.

  • Series 2019 Bonds means, collectively, the Series 2019A Bonds and the Series 2019B Bonds.

  • Successor Capital Securities Guarantee Trustee means a successor Capital Securities Guarantee Trustee possessing the qualifications to act as Capital Securities Guarantee Trustee under Section 4.1.

  • Global Securities means a Security or Securities, as the case may be, in the form established pursuant to Section 2.2 evidencing all or part of a Series of Securities, issued to the Depositary for such Series or its nominee, and registered in the name of such Depositary or nominee.
