Net Working Capital of the Company definition

Net Working Capital of the Company means on the Closing Date, the amount by which Current Assets of the Company exceeds Current Liabilities of the Company as at the date on which such computation is made. The terms "Current Assets" and "Current Liabilities" shall have the meanings ascribed to them under GAAP, as applied to the financial statements consistent with past practices reflected in the historical financial statements of the Company, and all computations to be made hereunder shall be made in accordance with GAAP, and shall include a reasonable allowance for normal year-end adjustments, if any, on a basis consistent with the historical practices of the Company, provided, however, the Company's deferred tax asset shall be excluded from "Current Assets."
Net Working Capital of the Company means on the Closing Date, the amount by which Current Assets of the Company exceeds Current Liabilities of the Company as at the date on which such computation is made. Net Working Capital of the Company means the current assets of the Company less the current liabilities of the Company as calculated in accordance with Australian generally accepted accounting principles consistently applied by the Company.

  • The Closing Date Balance Sheet and the Closing Statement (i) will reflect, respectively, the financial position of the Company and calculation of the Net Working Capital of the Company, in each case as of the close of business on the Closing Date, (ii) will be prepared and determined as of the close of business on the Closing Date on an accrual basis and on a basis consistent with GAAP using the Net Working Capital Methodology.
