Each monthly payment due under Section 2.1 of this Agreement for each Rondec Product, CCA Product and Keftab Product sold by DJ Pharma during such month shall be reduced by the unit Supply Price (as defined in the Dura Supply Agreement) multiplied by the number of units of each such Product sold by DJ Pharma during such month (such reduced amount defined herein as the "Net Royalty Payments").
Each payment of royalties by XTL shall be accompanied by a statement of the amount of Net Sales, Net Royalty Payments and Net Sublicensee Payments received during such period, and all other information necessary to determine the appropriate amount of such payments.
In the event of a breach of payment terms by Dura under the Xxxxxx Purchase Agreement or the Xxxxxx Supply Agreement which results in DJ Pharma's inability to acquire, market and sell the Rondec Products as contemplated herein, DJ Pharma shall have the right to cure such breach by making such payment and offsetting it against an equal amount of Net Royalty Payments for the Products not yet due by DJ Pharma to Dura or under the Subordinated Product Acquisition Notes.

B&C shall have the right to retain an independent, certified public accountant, reasonably satisfactory to XTL, to audit such records to confirm XTL’s Net Sales, Net Royalty Payments and Net Sublicensee Payments; provided however, that such auditor shall not disclose XTL’s confidential information to B&C, except to the extent such disclosure is necessary to verify the amount of royalties due under this Agreement.
If by the fifth anniversary of the establishment of PRF II there has been less than 50% in redemptions of senior A and F units, the Company will redeem, at every quarterly period thereafter, such number of senior A and F units as is equal to 20% of the Adjusted Net Royalty Payments divided by the applicable unit redemption price, until such time as there have been 50% in redemptions of senior A and F units.
