Net new job means a job created in this state that:
Net new job means a job with the Grantee in support of the NCCA that (a) was created after December 11, 2024, (b) could not be sustained absent the Project, (c) is performed by a full-time employee or a full- time equivalent employee working at least 35 paid hours per week, and (d) is held by an employee who resides in one of the eight disproportionately affected counties under Section 288.8012(3), Florida Statutes (Bay, Escambia, Franklin, Gulf, Okaloosa, Santa Rosa, Walton, and Wakulla) (the “Affected Counties”); provided, however, that Triumph shall have the right, upon request from Grantee, to grant exceptions to the residency requirements in individual cases in Triumph’s sole and absolute discretion. Jobs are not considered New Jobs if they are (A) moved from one area, department, or other division of Grantee to another unless the relocated positions are back- filled with net new-to-Florida full-time- equivalent jobs or (B) temporary construction jobs or temporary or seasonal jobs or to substitute for permanent employees on a leave of absence. The calculation of the number of Net New Jobs shall be made by ▇▇▇▇ ▇▇▇▇▇▇ or another similarly qualified economist or analyst selected by Triumph. At any time and from time to time, upon written request by Triumph, Grantee shall within thirty (30) days of such request, deliver to Triumph such data, reports, payroll ledgers, state and federal payroll returns, financial statements and reporting, and other documents, instruments, and information, as well as its State of Florida employment reporting forms (collectively, “Back-up Data”) as Triumph reasonably requires in order to determine whether the Grantee achieved any or all of the above Performance Metrics. ▇▇▇▇▇▇▇’s refusal or failure to timely provide, or cause to be provided, any requested Back-up Data shall be deemed the Grantee’s failure to timely achieve the above Performance Metrics.

Net new job means a job that was (a) created after the effective date of the Contract, (b) resulted in a net increase in overall employment on or at the ▇▇▇▇▇▇▇ Aviation Park, and (c) is performed by a full-time employee or a full-time equivalent employee on or at the ▇▇▇▇▇▇▇ Aviation Park who works at least 35 paid hours per week. Jobs are not considered Net New Jobs if they are (A) moved from other workplaces in Florida, unless the relocated positions are back-filled with net new-to-Florida full-time-equivalent jobs paying at least the wage of the transferred position(s); or (B) temporary construction jobs involved with the construction of the Project, or temporary or seasonal jobs associated with cyclical business activities or to substitute for permanent employees on a leave of absence. The calculation of the number of certifications and the other performance metrics shall be made by ▇▇▇▇ ▇▇▇▇▇▇ or another similarly qualified economist or analyst selected by Triumph. At any time and from time to time, upon written request by Triumph, SRC shall within thirty (30) days of such request, deliver to Triumph such data, reports, payroll records, financial statements and reporting, and other documents, instruments, and information, as well as its State of Florida employment reporting forms (collectively, “Back-up Data”) as Triumph requires in order to determine whether SRC achieved of any or all of the above performance metrics. SRC’s refusal or failure to timely provide any requested Back-up Data shall be deemed SRC’s failure to timely achieve all of the above performance metrics. Notwithstanding the foregoing, so long as SRC is making diligent efforts to obtain the Back-up Data from third parties, the thirty (30) day deadline described above shall be reasonably extended with respect to any Back-up Data needed to be obtained from third parties.

CLAWBACK: Clawback from County Any grant funds disbursed by Triumph to the County shall be subject in being repaid (“clawed back”) in the event (i) the County made any materially false certification or representation to Triumph in connection with the Grant Application, under the Agreement, and/or in connection with the disbursement of the grant, and/or (ii) the County breached, violated, or is in any way in default under any of its obligations under the Agreement, and/or (iii) the County fails to achieve at least one of the three performance metrics described above. Triumph shall have the discretion to waive, reduce, extend, or defer any amounts due under the clawback provisions if (i) it determines in its sole and absolute discretion that, based on quantitative evidence, the performance metrics were not achieved due to negative economic conditions beyond the County’s control, (ii) it determines in its sole and absolute discretion that the County made a good faith effort to achieve full performance metrics and its failure to fully achieve the performance metrics does not substantially frustrate the general purpose of the grant, or (iii) it determines in its sole and absolute discretion that, based on quantitative evidence, the effects of a named hurricane or tropical storm, or specific acts of terrorism, adversely affected the County’s ability to achieve the performance metrics. Interest shall accrue on the clawback amounts due at the rate of Wall Street Journal Prime plus 3%, commencing thirty (30) days after the date of demand by Triumph.
