Net Investment Amount definition

Net Investment Amount means the Investment Amount less any Initial Adviser Fee;
Net Investment Amount means, with respect to any Investment in any Person at any time, the amount, if any, by which (a) the sum of all Investments (valued as of the date such Investment is made) in such Person (and any Subsidiary or Joint Venture thereof) made by any Loan Party (including any capital contribution to such Person, all Indebtedness owing by such Person to any Loan Party, all Guaranty Obligations of any Loan Party of Indebtedness owing by such Person to any Loan Party and the Fair Market Value, as of the date of transfer, of all property transferred to such Person and any Subsidiary thereof or Joint Venture thereof by any Loan Party) exceeds (b) any return on capital (in the form of cash or Cash Equivalents) with respect to, or net cash proceeds of the sale or other disposition of, such Investment received by any Loan Party from such Person (or any Subsidiary or Joint Venture thereof) or any net cash proceeds received by any Loan Party from any transfers of property described in clause (a) above.

More Definitions of Net Investment Amount

Net Investment Amount means, as of any date of determination, the amount equal to (a) the aggregate amount of Investments made by Loan Parties to Non-Guarantor Subsidiaries since the Effective Date, including the initial Investments made to create such Subsidiaries, minus (b) the aggregate amount of Restricted Payments made by Non-Guarantor Subsidiaries to the Loan Parties since the Effective Date (it being agreed that the amount of such Restricted Payment that constitute Property shall be deemed to be the purchase price for such Property that was acquired with the proceeds of Investments made by the Loan Parties to the Non-Guarantor Subsidiaries).
Net Investment Amount means the cumulative amount, as of the applicable Determination Date, equal to the sum of all expenses (excluding depreciation and amortization associated with fixed asset and leasehold improvement expenditures approved as of and after the Reference Date) and funded amounts not recorded as an expense paid from the Reference Date through the applicable Determination Date by StepStone on behalf of or through the Company, including the Company’s portion of the costs of Shared Services for such period, as reduced by all such expenses and funded amounts that were not a reduction to the Net Purchase Price on a prior Closing. For the avoidance of doubt, and without limitation, the following shall not be included in the definition of “Net Investment Amount”: (i) organizational and operating costs (“O&O Costs”), notwithstanding the status or timing of the reimbursement for such O&O Costs from a retail Fund; and (ii) costs associated with StepStone’s role as sub-advisor to retail Funds or as advisor/sponsor of feeder funds, including marketing, investor meetings, due diligence support, product support and other related costs.
Net Investment Amount means, (i) with respect to any Subsidiary of the Borrower and Non-Controlled Project Entity as of the Closing Date, its gross book value, determined in accordance with GAAP; and (ii) with respect to any Eligible Asset or Excluded Asset acquired after the Closing Date, the net Acquisition cost paid by the Borrower or its Subsidiaries in connection with such Acquisition, provided that in the event that the Borrower or BAM or any Affiliate of the Borrower or BAM at any time obtains an arm’s length valuation of any Eligible Asset or Excluded Asset, the Borrower shall certify to the Administrative Agent as to such valuation and from and after such certification the “Net Investment Amount” of such Eligible Asset or Excluded Asset (including those existing on the Closing Date) shall be such valuation as so certified.

Net Investment Amount means, with respect to any Investment in a Related Entity, an amount (not less than zero) equal to the book value of such Investment when made or acquired (or, in the case of any Related Entity that was formerly a wholly owned Subsidiary, when such Related Entity ceased to be a wholly owned Subsidiary) net of (A) any returns of capital to the Person making such Investment and (B) proceeds received from a Person other than the Borrower or its Subsidiaries upon disposition of such Investment.

Net Investment Amount means the excess, determined with respect to Investments made after the date of this Agreement, of (a)(i) payments by any of the Loan Parties to any of the Foreign Subsidiaries in respect of Indebtedness owing to Foreign Subsidiaries, (ii) payments by any of the Loan Parties in satisfaction of obligations under Guaranties of obligations of any of the Foreign Subsidiaries, and (iii) loans to or equity investments in any of the Foreign Subsidiaries by any of the Loan Parties (other than loans and equity investments made prior to the date of this Credit Agreement) over (b)(i) payments by any of the Foreign Subsidiaries to any of the Loan Parties in respect of Indebtedness owing by any of the Foreign Subsidiaries to any of the Loan Parties, (ii) loans to any of the Loan Parties in compliance with Section 7.02(c) after the date of this Credit Agreement and (iii) distributions in respect of equity by any of the Foreign Subsidiaries to any of the Loan Parties. Until the UK Advance Date, “Foreign Subsidiaries” shall include the Designated UK Borrowers and the UK Guarantors. Upon the UK Advance Date, “Foreign Subsidiaries” shall cease to include the Designated UK Borrowers and the UK Guarantors, and the Net Investment Amount shall be recalculated as of such date as if the Designated UK Borrowers and the UK Guarantors (y) had not been “Foreign Subsidiaries” since the Closing Date and (z) had been Loan Parties for all purposes of this Agreement as of the Closing Date.
