Net Funding Proceeds definition
Net Funding Proceeds means, with respect to any Additional Funding Event, the proceeds received in cash by the Borrower, excluding (i) all underwriting and other fees and expenses incurred in connection with such Additional Funding Event which are not customary or market, (ii) any fees and expenses payable to any Affiliate, and (iii) other than in the case of Restatement Date Loans and Incremental Loans, any cash proceeds that are the subject of any escrow or similar arrangement until such cash proceeds are unconditionally released to the Borrower.
