Net Cash Position definition

Net Cash Position means on any day, with respect to the Operating Account, a sum equal to the opening available balance in the Operating Account, plus any maturing investment principal and interest credited to the Operating Account, minus the daily presentment of checks and Operating Account holds, minus any floor balance which has been established to cover bank charges, minus any maturing interest debited to the Operating Account, in each case for such day.
Net Cash Position shall have the meaning set forth in the Services Agreement.
Net Cash Position means an amount equal to the Cash and Cash Equivalents less the aggregate gross interest bearing debt of the Group on a consolidated basis according to the annual audited financial statements for the previous financial year.

More Definitions of Net Cash Position

Net Cash Position means, as of any date, an amount equal to the sum of the cash and debt items of the Company or any Company Subsidiary, calculated on a consolidated basis, to the extent such items are included in the line items set out in the form of the Net Cash Statement, attached hereto as Schedule 2.7(a)(i).
Net Cash Position means the amount of cumulative ISA Funds received by an ISA from the Trustee, plus any portion thereof returned to the ISA by grantees or otherwise, less cumulative disbursements and use thereof by the ISA, less any portion thereof returned to the Trustee by the ISA.

Net Cash Position means the difference between the Company's cash minus the Company's liabilities (net of legal reserves of $125,250 and warranty reserves of $50,000, provided, that no adjustment to such reserve accounts shall have been made (or shall have reason to be made) prior to the Effective Time and no payments against such reserves shall have been made (or shall have reason to be made) prior to the Effective Time) as of the Effective Time. For purposes of determining the Company's compliance with this Section 5.1(r) only as of the Effective Time, the calculation of Net Cash Position immediately prior to the Effective Time may be adjusted to the extent legal, SEC and printing fees incurred by the Company for services directly associated with the transactions contemplated by this Agreement, in the aggregate, exceed $120,000. In addition, the Permissible Shortfall shall be increased by $7,000 for each calendar day subsequent to October 31, 2001 and prior to the Effective Time.
Net Cash Position means the amount computed in accordance with the formula set forth on SCHEDULE 2.4.2.
