The net capital employed in the Company means the assets of the Company, excluding any cash distributed or otherwise paid to the Seller or its Affiliates immediately prior to the Closing, less the liabilities of the Company (the "Net Capital Employed"), as set forth on Schedule 1.2 hereto.
