Net Capital Employed definition

Net Capital Employed as of a particular date shall mean the sum of Shareholder’s Equity and Total Debt as of such date, minus Cash as of such date. “Other Income (Expense), Net” of the Company shall be any expense or income arising from transactions outside the ordinary course of business including but not limited to any of the sale or purchase of debt or equity securities of the Company, debt refinancing or prepayment of debt, judgment or settlement of claims or litigation, acquisitions or divestitures, termination of a pension plan, the sale or purchase of tangible or intangible assets and the impairment of tangible and intangible assets.
Net Capital Employed means the sum of working capital, as defined above, and fixed assets, net of the personnel provisions, other non-current paya- bles and provision for contingencies and charges.
Net Capital Employed as of a particular date shall mean the sum of Shareholders’ Equity and Total Debt as of such date, minus Cash as of such date. “Other Operating Expense (Income), Net” of the Company, as reported in its financial statements.

Net Capital Employed means (i) the book value of the tangible and intangible Acquired Assets as of the Effective Time determined in accordance with generally accepted accounting principles ("GAAP") consistently applied, less (ii) the amount of the Assumed Liabilities as of the Effective Time to the extent such Assumed Liabilities would be reflected on or reserved against in a balance sheet as of the Closing Date prepared in accordance with GAAP consistently applied. The determination of the application of accounting principles on a basis consistent with prior periods shall be made by reference to Seller's prior application of such principles unless such principles or such prior application thereof was not in accordance with GAAP, in which case GAAP determined by Purchaser shall be used without regard to the consistency of the application thereof with Seller's prior accounting periods.

  • Target Capital Account means the Capital Account of a Member as of the end of each fiscal year, increased by any amount that such Member is obligated to restore under this Agreement, is treated as obligated to restore under Treasury Regulations Section 1.704-1(b)(2)(ii)(c), or is deemed obligated to restore under the penultimate sentences of Treasury Regulations Section 1.704-2(g)(1) and (i)(5).
