Net Asset Deficit definition

Net Asset Deficit means the amount (expressed as a positive number) by which the Net Asset Balance is less than zero ($0).
Net Asset Deficit means the sum of $155,499, constituting the amount by which the Net Current and Other Assets set forth in or derived from the Company's balance sheet as of July 31, 2002 is less than the Net Current and Other Assets set forth in or derived from the Company's balance sheet as of April 30, 2002.
Net Asset Deficit means the amount (expressed as a positive number) by which the Net Asset Balance is less than zero ($0). “Net Asset Surplus” means the amount (expressed as a positive number) by which the Net Asset Balance is greater than zero ($0).

Examples of Net Asset Deficit in a sentence

  • The cash held by Buyer pursuant to Subsection 2.5.1 above shall be held as security against the delivery of (i) a full and complete release, tax clearance statement or settlement agreement of the Tax Claims satisfactory to Buyer and (ii) as security for the satisfaction of any Net Asset Deficit.

  • To the extent that Net Current Assets reflected on the Closing Balance Sheet is less than $380,000.00 then the amount of the Withheld Funds payable to the Seller shall be decreased, on a Dollar for Dollar basis, by the full amount by which the Net Current Assets reflected on the Closing Balance Sheet falls below $380,000.00 (“Net Asset Deficit”) and such Net Asset Deficit amount shall be retained by the Buyer.

  • The Net Asset Deficit shall first be paid from the Withheld Funds withheld pursuant to Subsection 2.5.1 and then from Withheld Funds withheld pursuant to Subsection 2.5.2 until paid in full.

  • In the event that the Net Assets as shown on the Final Closing Balance Sheet is less than $1,000, Parent will be entitled to make a claim against, and solely against, the Escrow Shares in an amount equal to the amount by which the Net Assets are less than $1,000 (the "Net Asset Deficit Amount") in the manner set forth in the Escrow Agreement.

  • In the event that the Withheld Funds shall be inadequate to make any Net Asset Deficit payment due hereunder, then Buyer shall be entitled to be indemnified by Seller for the amount of such payment together with any Damages arising out of such failure in accordance with Section 11.

  • Licensee shall not be required to attain consent under this Article 14 for use that is pursuant to applicable law or regulation, including Licensee’s obligations under disclosure rules of the Securities and Exchange Commission (SEC).
