NEJD Transaction Documents definition

NEJD Transaction Documents means the NEJD Closing Agreement, the NEJD Financing Lease Agreement, the NEJD Memoranda of Lease, the NEJD Conveyances, the NEJD Denbury Guaranty, the NEJD SRCA, and each other agreement, instrument, certificate or document executed by the Borrower Parties, NEJD SPE 2, Denbury and/or Onshore or any of their officers at any time in connection with the NEJD Transaction (other than the NEJD Intercompany Financing Agreements), as such agreements may be amended, modified, supplemented or restated from time to time.

NEJD Transaction Documents means the (a) Closing Agreement, dated as of May 30, 2008, by and between NEJD SPE 2 and Onshore, (b) the NEJD Financing Lease Agreement, (c) Memorandum of Lease, Deed of Trust, Security Agreement and UCC Fixture Filing, dated as of May 30, 2008, among Onshore, as Lessee, Grantor and Debtor, and the trustee named therein; and NEJD SPE 2, as Lessor, Beneficiary and Secured Party, (d) Notice of Lease, Mortgage and Security Agreement dated as of May 30, 2008, among Onshore, as Lessee and Mortgagor, Grantor and Debtor and NEJD SPE 2, as Lessor, Mortgagee and Secured Party, (e) Conveyance dated as of May 30, 2008 by Onshore to NEJD SPE 2 of property located in the certain counties in the State of Mississippi, (f) Conveyance dated as of May 30, 2008 by Onshore to NEJD SPE 2 of property located in certain parishes in the State of Louisiana, (g) Guaranty, dated as of May 30, 2008, by Denbury in favor of NEJD SPE 2, (h) NEJD SRCA, and (i) each other agreement, instrument, certificate or document executed by the Borrower Parties, NEJD SPE 2, Denbury and/or Onshore or any of their officers at any time in connection with the financing lease transaction between NEJD SPE 2 (as lessor) and Onshore (as lessee) in respect of the NEJD pipeline pursuant to each of the foregoing documents (other than the NEJD Intercompany Financing Agreements), as such agreements may be amended, modified, supplemented or restated from time to time.

NEJD Transaction Documents means (a) the Closing Agreement, dated as of May 30, 2008, by and between NEJD SPE 2 and Onshore; (b) the Promissory Note made by Onshore in favor of NEJD SPE 2, dated October 30, 2020, in the original principal amount of $70 million; (c) the Guaranty Agreement (Exchange Note Option), dated as of October 30, 2020, made by Denbury in favor of NEJD SPE 2; (d) the Deed of Trust, Mortgage, Assignment, Security Agreement, Fixture Filing and Financing Statement, dated as of October 30, 2020, by Onshore, as Mortgagor, and the Trustee (as defined therein) for the benefit of NEJD SPE 2; (e) the Mortgage, Collateral Assignment, and Security Agreement, effective as of October 30, 2020, by Onshore, as Mortgagor, in favor of NEJD SPE 2, as Mortgagee; (f) the Guaranty, dated as of May 30, 2008, by Denbury in favor of NEJD SPE 2, (g) NEJD SRCA, and (h) each other agreement, instrument, certificate or document executed by the Borrower Parties, NEJD SPE 2, Denbury and/or Onshore or any of their officers at any time in connection with the transaction between NEJD SPE 2 (as lessor) and Onshore (as lessee) in respect of the NEJD pipeline pursuant to each of the foregoing documents (other than the NEJD Intercompany Financing Agreements), as such agreements may be amended, modified, supplemented or restated from time to time.

Related to NEJD Transaction Documents

  • Acquisition Documents means the Acquisition Agreement and all other agreements and documents relating to the Acquisition, as the same may be amended, modified and/or supplemented from time to time in accordance with the terms hereof and thereof.

  • Other Transaction Documents means the Transaction Documents other than this Agreement.

  • Equity Line Transaction Documents means this Agreement and the Registration Rights Agreement.

  • Transaction Documents means this Agreement, the Warrants, all exhibits and schedules thereto and hereto and any other documents or agreements executed in connection with the transactions contemplated hereunder.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • Reorganization Documents means the Reorganization Agreement, this Agreement, the Holdco LLC Agreement, the Tax Receivable Agreement, the Exchange Agreement, the Registration Rights Agreement, the Employee Equity Letters, the MIP and the Equity Purchase Agreements.

  • Acquisition Documentation collectively, the Acquisition Agreement and all schedules, exhibits and annexes thereto and all side letters and agreements affecting the terms thereof or entered into in connection therewith.

  • Securitization Documents means all documentation relating to any Permitted Securitization.

  • Transaction Agreements means the Securities Purchase Agreement, the Debentures, the Joint Escrow Instructions, the Security Agreement, the Registration Rights Agreement, and the Warrants and includes all ancillary documents referred to in those agreements.

  • Exception Documents shall have the meaning set forth in Section 4.2.

  • Permitted Acquisition Documents means with respect to any acquisition proposed by the Borrower or any Subsidiary Guarantor, final copies or substantially final drafts if not executed at the required time of delivery of the purchase agreement, sale agreement, merger agreement or other agreement evidencing such acquisition, including, without limitation, all legal opinions and each other document executed, delivered, contemplated by or prepared in connection therewith and any amendment, modification or supplement to any of the foregoing.

  • Obligation Documents means this Guaranty, the Note, the Credit Agreement, the Loan Documents, all other documents and instruments under, by reason of which, or pursuant to which any or all of the Obligations are evidenced, governed, secured, or otherwise dealt with, and all other documents, instruments, agreements, certificates, legal opinions and other writings heretofore or hereafter delivered in connection herewith or therewith.

  • Application Documents means collectively: (i) the grant application submitted by Grantee, including all exhibits, schedules, appendices and attachments thereto; (ii) all documents, correspondence and other written materials submitted in respect of such grant application; and (iii) all amendments, modifications or supplements to any of the foregoing approved in writing by City.

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Permitted Securitization Documents means all documents and agreements evidencing, relating to or otherwise governing a Permitted Securitization Financing.

  • Transaction Agreement has the meaning set forth in the recitals.

  • Purchaser Documents has the meaning set forth in Section 6.2.

  • Related Transactions Documents means the Loan Documents and all other agreements or instruments executed in connection with the Related Transactions.

  • Transaction Document means any agreement, document, certificate or instrument delivered pursuant to or in connection with this Agreement or the transactions contemplated hereby.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • Purchase Documents The mortgage purchase agreements between Xxxxxxx Mac and its Mortgage sellers and servicers, which are the contracts that govern the purchase and servicing of Mortgages and which include, among other things, the Guide and any negotiated modifications, amendments or supplements to the Guide.

  • Ancillary Agreements means all agreements, certificates and other instruments delivered or given pursuant to this Agreement.

  • Acquisition Agreement means a letter of intent, agreement in principle, merger agreement, acquisition agreement, option agreement or other similar agreement.

  • Master Transaction Agreement has the meaning set forth in the recitals.

  • Equity Documents means collectively the documents evidencing subscription to Equity to the extent of equity component of cost of the Project.

  • Fundamental Documents means, with respect to a corporation, the charter and bylaws (each as amended) or, with respect to any other Person, the documents by which such Person (other than an individual) establishes its legal existence or which govern its internal affairs.
