Negative Amount means the amount by which the Base Liabilities exceed the Adjusted Assets. If the Negative Amount is $2,500,000 or less, the Cash Purchase Price shall be increased by fifty percent (50%) of the amount by which the $2,500,000 exceeds the Negative Amount.
