Necessary Materials definition

Necessary Materials are defined as commodity materials purchased by SYNNEX necessary for the manufacturing of the Products that are (A) not distributed by SYNNEX in its regular course of business or (B) mutually agreed upon by VA Linux and SYNNEX under special conditions, including without limitation, EOL (End of Life) one time buys and significant volume increases above the normal volume carried by SYNNEX. Necessary Materials shall be purchased on a lead time plus * of additional supply.
Necessary Materials means all items needed by the works council for meetings, consultation hours and for the day-to-day operation of the works council. These materials mainly include office supplies. The works council has, in any case, a right to the joint use of the copying machines or printers available in the business; in view of the memory functions of modern devices and of how common such devices are today, the works council may even have the right to demand to be provided with its own
Necessary Materials means any and all test programs, software (and related documentation), hardware, tooling, molds, fixtures or other equipment purchased by SUPPLIER and not reimbursed by BUYER and used by SUPPLIER to manufacture and/or assemble the Products. As applicable, to the extent necessary to meet the highest quality standards, SUPPLIER agrees to perform or have performed all routine repair, calibration and maintenance on Necessary Materials at its sole cost and expense.

  • Reseller shall retain all of its intellectual property rights in Necessary Materials including any text, images, or other components it owns and transmits to AIT for use in the Website.

  • Reseller agrees to provide its end user(s)’s complete texts and graphics and all other necessary materials (“Necessary Materials”) for all web pages to AIT in a timely manner and agrees that failure to submit such Necessary Materials within such a period will result in forfeiture of any and all prepayment and/or Deposit and that the Agreement will be considered completed, with the entire remaining balance owing immediately due and payable.

  • The incorporation of any Necessary Materials will not merge the parties’ respective intellectual property rights.

  • Any delays in Reseller response and/or delivery of Necessary Materials may adversely affect the timing of delivery.

  • WSS represents and warrants that the materials deposited in the escrow account includes all source and object code, binaries, tools and other elements that WSS periodically backs-up to operate the Services and generate reports, as well as documentation that it possesses related thereto ("Necessary Materials").

  • BUYER may decide to designate an item proposed to be treated as Acquired Materials as Necessary Materials, in which case such item will deemed to be Necessary Materials subject to the below.

  • BUYER shall provide notice of exercise of such option to purchase the applicable Necessary Materials within thirty (30) days of receipt of SUPPLIER’s notice of acquisition of such Necessary Materials.

  • To the extent that BUYER has exercised its option to purchase Necessary Materials upon termination of this Agreement, BUYER agrees to pay a reasonable one-time fee to SUPPLIER to be negotiated in good faith by the parties at the time of termination, taking into consideration the condition and fair market value of the items.

  • Within ten (10) days after acquisition, SUPPLIER shall provide written notice to BUYER of acquisition of the Necessary Materials.

  • BUYER shall have the option to purchase such Necessary Materials upon termination of this Agreement.

Related to Necessary Materials

  • Study Materials means all the materials and information created for the Study, or required to be submitted to the Sponsor including all data, results, Biological Samples, Case Report Forms (or their equivalent) in whatever form held, conclusions, discoveries, inventions, know-how and the like, whether patentable or not, relating to the Study, which are discovered or developed as a result of the Study, but excluding the Institution’s ordinary patient records.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Proprietary Materials means tangible chemical, biological or physical materials that are furnished by or on behalf of one Party to the other Party in connection with this Agreement, whether or not specifically designated as proprietary by the transferring Party.

  • Third Party Materials means materials and information, in any form or medium, including any software, documents, data, content, specifications, products, equipment or components of or relating to the Services that are not proprietary to NCIT.

  • Regulatory Materials means regulatory applications, submissions, notifications, communications, correspondence, registrations, Regulatory Approvals or other filings made to, received from or otherwise conducted with a Regulatory Authority in order to Develop, Manufacture, or Commercialize a Licensed Product in a particular country or jurisdiction.
