The Company represents and warrants to NDH that the Company is duly incorporated, validly existing and in good standing under the laws of the jurisdiction of its incorporation and has the power and capacity to enter into this Agreement and to carry out its terms and the execution and delivery of this Agreement by the Company has been duly and validly authorized by all necessary corporate action.
NDH has agreed to provide its administrative and corporate services to the Company on the terms and subject to the conditions hereinafter set forth.

Nothing herein shall be construed as prohibiting NDH from pursuing any other remedies available to NDH for such breach or threat of breach, including the recovery of damages from the Consultant.
Ensure the CHOA NDH Construction Team and/or the affected subcontractors/trade partners, with the assistance of OSHA as its resources permit; adequately address health- related issues, which occur during the project.
In compliance with SHEMS, the CHOA NDH Team will assume all soils are type C until a soils engineer proves otherwise.
