NAC Company definition

NAC Company means Buyer or any of its Subsidiaries.
NAC Company means any NAC or any direct or indirect subsidiary of NAC and "NAC AFFILIATE" means any NAC Company, any joint venture or partnership in which any NAC Company is a partner or other participant and any Person in which any NAC Company owns an equity interest equal to or in excess of five percent (5%). As used herein, "EXCLUDED WORKS" means any publications or other artistic works that are created or developed by Executive in his non-work time during the term of this Agreement and that do not relate to, and are not useable in connection with, any Employer Business.
NAC Company means each or any of the NAC Companies, as the context may require.

Examples of NAC Company in a sentence

  • No current or former officers, employees or independent contractors of any NAC Company have claimed any ownership interest in any Intellectual Property owned by a NAC Company.

  • For each patent in Buyer Registered IP, a NAC Company has obtained valid assignments of inventions from each inventor.

  • Since December 31, 2015 through the date of this Agreement, except as set forth on Schedule 5.10, each NAC Company has (a) conducted its business only in the ordinary course of business, (b) not been subject to a Company Material Adverse Effect and (c) has not taken any action or committed or agreed to take any action that would be prohibited by Section 6.3(b) if such action were taken on or after the date hereof without the consent of Buyer.

  • No NAC Company is a plaintiff in any material Action involving a NAC Company.

  • A NAC Company has good, valid and marketable title to all such Buyer Owned Real Property, and except as set forth on Schedule 5.17(a) hereto, all of such Buyer Owned Real Property is held by a NAC Company free and clear of Liens, including any subleases, other than Permitted Liens.

  • The Company has been provided with true and correct copies of the Governing Documents of each NAC Company, each as amended and in full force and effect as of the date hereof.

  • All Buyer Registered IP is owned exclusively by a NAC Company without obligation to pay royalties, licensing fees or other fees, or otherwise account to any third party with respect to such Buyer Registered IP.

  • A NAC Company owns, free and clear of all Liens other than Permitted Liens, has valid and enforceable rights in, and has the unrestricted right to use, sell, license, transfer or assign, all owned Intellectual Property currently used, licensed or held for use or previously owned by a NAC Company.

  • Ultimate Parent Company means a company which owns at least twenty six percent (26%) equity in the Bidding Company or Member of a Consortium, (as the case may be) and in the Technically Evaluated Entity and/or Financially Evaluated Entity (as the case may be) and such Bidding Company or Member of a Consortium, (as the case may be) and the Technically Evaluated Entity and/or Financially Evaluated Entity (as the case may be) shall be under the direct control or indirectly under the common control of such company;

  • Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • lone parent means a person who has no partner and who is responsible for and a member of the same household as a child or young person;

  • Common parent, as used in this provision, means that corporate entity that owns or controls an affiliated group

  • Material Group Company means the Issuer or a Subsidiary representing more than 5.00 per cent. of either (i) the total assets of the Group on a consolidated basis (for the avoidance of doubt, excluding any intra-group transactions) or (ii) the net profit of the Group on a consolidated basis according to the latest Financial Report.
